Form 1120-S

Form 1120-S, U.S. Income Tax Return for an S Corporation

By RepeatForm team

Form 1120-S is the income tax return a corporation files for any year it is covered by an election to be an S corporation. It reports the corporation's income, gains, losses, deductions and credits. RepeatForm helps you reuse the corporation's details: upload the Form 1120-S you completed and the current blank, then review every line.

Is this page for you?

Plainly: this is one of the better fits. An S corporation files every tax year it is covered by the election, and its name, address, EIN and incorporation details rarely change. Those details can carry across. The income, deductions, shareholder count and every schedule figure do change, so they never carry as truth. If you prepare returns for several corporations, start each one from that corporation's own last copy.

What Form 1120-S is for

The instructions say "Use Form 1120-S to report the income, gains, losses, deductions, credits, and other information of a domestic corporation or other entity for any tax year covered by an election to be an S corporation." The form itself says "Do not file this form unless the corporation has filed or is attaching Form 2553 to elect to be an S corporation." RepeatForm does not explain how to treat any item; read the full instructions on irs.gov.

Who files it

The instructions say "A corporation or other entity must file Form 1120-S if (a) it elected to be an S corporation by filing Form 2553, (b) the IRS accepted the election, and (c) the election remains in effect." They add "Don’t file Form 1120-S for any tax year before the year the election takes effect." RepeatForm does not decide whether your corporation must file. The election itself has its own page, linked below.

When it is due, and extensions

For the due date, read the "When To File" section of the instructions on irs.gov: it ties the date to the end of the corporation's tax year and covers a corporation that has dissolved. It also says "If the due date falls on a Saturday, Sunday, or legal holiday, the corporation can file on the next day that isn’t a Saturday, Sunday, or legal holiday." To ask for more time, the instructions say "File Form 7004, Application for Automatic Extension of Time To File Certain Business Income Tax, Information, and Other Returns, to ask for an extension of time to file." and "Generally, the corporation must file Form 7004 by the regular due date of the return."

Filing electronically, and where to file

The instructions say "For returns filed on or after January 1, 2024, S corporations are required to e-file Form 1120-S if they file 10 or more returns of any type during the calendar year (including income tax, employment tax, excise tax, and information returns)." and "However, these corporations can request a waiver of the electronic filing requirements." For a paper return they say "File the corporation’s return at the applicable IRS address listed below," and the address depends on where the corporation's principal business is and its total assets. RepeatForm fills the PDF form; follow the IRS instructions, or your software or preparer, for how your return is submitted.

Shareholders and Schedules K-1

Item I on the form reads "Enter the number of shareholders who were shareholders during any part of the tax year". The instructions say "Attach a copy of each Schedule K-1 to the Form 1120-S filed with the IRS. Keep a copy for the corporation’s records and give each shareholder a copy." The shareholder count and the K-1s change with the year, so check them yourself.

Using the same corporation details next year

Upload a Form 1120-S you completed and the current blank; RepeatForm carries the matching details across; you go through a review step, then preview the PDF before you export. Use last year's copy as the source, then change what differs. This helps most if you prepare returns for several corporations.

What carries over

  • ✓The corporation's name, address and employer identification number, where they match in both copies
  • ✓The business activity code, the date incorporated and the S election effective date, where they match in both copies
  • ✓The accounting method boxes and other answers that match in both copies. Check them yourself; anything can change from year to year

What never carries over

  • ✓Amounts. Income, deductions and the figures in the schedules change every year and RepeatForm does not add up any amount. Enter and check each yourself.
  • ✓The year-specific boxes and questions: the tax year dates, whether it is the final return or an amended return, the number of shareholders, and the answers in Schedule B. They describe one year, so answer them for this one.
  • ✓Lines the IRS locks or calculates on the official form. They stay blank for you to complete after the review step.
  • ✓Anything in your completed copy that does not appear in the blank form.
  • ✓Signing and filing. The form says "Under penalties of perjury, I declare that I have examined this return, including accompanying schedules and statements"; sign by hand where the form asks. The instructions say "The return must be signed and dated by" an officer, starting with "The president, vice president, treasurer, assistant treasurer, chief accounting officer".

If the IRS has a new edition

The IRS publishes a new Form 1120-S for each tax year. Carrying an earlier copy into the new one works for many answers, but some fields are renamed or moved and match only partly, so check every line on the new form in Review before you export.

The PDF checked for this page is the 2025 Form 1120-S. The About Form 1120-S page on irs.gov links the current form and its instructions. RepeatForm does not supply the blank form: get it from irs.gov.

The S corporation election is made on its own form: Form 2553.

To ask for more time to file, see Form 7004.

An S corporation with rental real estate also completes Form 8825.

Partnerships file a different return: Form 1065.

Good to know

  • ✓You review every carried-over answer. RepeatForm does not guarantee the form is correct and cannot promise the IRS will accept it.
  • ✓RepeatForm does not give tax or legal advice. It cannot tell you whether a corporation must file, how to treat an item, or what any amount should be, and it does not add up any figure. The IRS instructions explain those rules.
  • ✓RepeatForm shows a review step before it makes the PDF. The official form locks some boxes, such as lines the IRS calculates, so some IRS-calculated lines stay blank for you to complete.
  • ✓The refund line asks for a bank routing number and account number. Those are ordinary entry boxes: check them, and clear any you do not want on the new copy.
  • ✓RepeatForm does not file anything for you or prepare the shareholders' Schedules K-1.
  • ✓It works with digital, text-selectable PDFs only. Scans, photos and handwriting are not supported.
  • ✓Same or recent editions work best. If the form changed you may get fewer matches, so check the preview carefully and get the current form from irs.gov.

FAQ

FAQ

Which return does an S corporation file?+

The instructions say "Use Form 1120-S to report the income, gains, losses, deductions, credits, and other information of a domestic corporation or other entity for any tax year covered by an election to be an S corporation." Whether your corporation has that election is a question for the IRS instructions or a preparer; RepeatForm does not decide it.

Where do I file Form 1120-S?+

The instructions say "File the corporation’s return at the applicable IRS address listed below," and the address depends on where the corporation's principal business is and its total assets. They also say "S corporations are required to e-file Form 1120-S if they file 10 or more returns of any type during the calendar year". RepeatForm fills the PDF; it does not file anything for you.

Can I get more time to file Form 1120-S?+

The instructions say "File Form 7004, Application for Automatic Extension of Time To File Certain Business Income Tax, Information, and Other Returns, to ask for an extension of time to file." and "Generally, the corporation must file Form 7004 by the regular due date of the return." Check irs.gov for the date that applies to you.

Can I reuse last year's Form 1120-S?+

You can reuse the details that stay the same, such as the corporation's name, address, EIN and incorporation date. The amounts, shareholder count and year-specific answers change, so enter them again and check every line on the new form in Review.
